Terms of Use

Welcome to Syscogen Cognitech Pvt. Ltd. (“Syscogen”, “we”, “our”, “us”).By accessing or using our website, digital services, or solutions, you (“Client”,“Customer”, “User”) agree to comply with the following Terms of Use. These terms govern the use of our website and the provision of software, web, app, and digital services. Please read them carefully before engaging with our services.

1. Project Initiation & Delivery

  • Work begins within 2–3 business days after receipt of the initial payment and complete, written specifications from the Client.
  • Typical delivery timeline: up to 30 working days from project start (Monday–Friday, excluding declared holidays), unless otherwise stated in the proposal/SOW.
  • Timelines may extend due to dependencies on client feedback, approvals, or external circumstances.

2. Scope of Services

  • Deliverables are limited to the features and scope defined in the approved proposal/SOW. Any other company’s document or brochure is not an approved feature list.
  • Separate projects: Digital Marketing, SEO/SMO, Content Writing, and image/banner/product photo editing are not included within application/website development effort, timeline, or cost unless explicitly quoted.
  • All text, images, and media should be supplied by the Client unless content creation is explicitly included. The Client is solely responsible for ensuring they hold rights to use submitted assets. Syscogen is not liable for copyright infringements in Client-provided materials.

3. Change Requests & Approvals

  • Change Requests (scope additions/alterations) require renegotiated timelines and revised fees.
  • Submitted deliverables must be reviewed within 4–5 days. If no written feedback is received within 7 days, the deliverable is deemed accepted.
  • Delays in Client feedback, approvals, content, or access credentials can extend delivery dates and may require cost revisions.

4. Payments & Refunds

  • Payments are milestone-based as defined in the proposal. After each milestone submission, a 2–3 day window is available for CR (within scope) and the corresponding milestone payment becomes due.
  • If a milestone remains unpaid for over 30 days, Syscogen may pause or terminate the project. Restoration/reactivation may incur additional charges.
  • No refunds are provided for advance or milestone payments once a phase has started or a deliverable has been submitted.
  • Payments are accepted only via the company’s bank account/UPI/net-banking or other approved online modes. Cash/unauthorized payments are not accepted.
  • Proposals/quotations are generally valid for 15 days from the date of issue unless specified otherwise.

5. Post-Delivery Support

  • Post-delivery support includes 28 days of bug-fixing limited to the agreed scope/workflow. Enhancements are billed separately.
  • Change Requests (CR) after each milestone must be raised within 2–3 days.

6. Client Responsibilities

  • The Client must provide, where applicable: domain, hosting, business email accounts, Google/API keys, payment/SMS gateway accounts, and any third-party access needed for development and deployment.
  • Costs for domain, hosting, SSL, logos/brand assets, third-party APIs, payment gateways, and SMS gateways are extra and borne by the Client. SMS credits and third-party integrations may carry separate setup/usage fees.
  • Project NOC/Agreement: The Client should provide the required NOC/agreement on letterhead (with seal/signature) within the stipulated timeline (typically 7 days from completion). Failure to do so may result in temporary suspension until documentation is received.

7. Project Postponement / Cancellation

  • If a project is postponed by the Client for 2 months or more, Syscogen may cancel the project and invoice for work completed and dues payable.
  • Delivery dates may be extended due to
    (i) Client-side issues (delayed payments, content/access delays, health emergencies),
    (ii) Company-side constraints (health, local technical issues), or
    (iii) force majeure events (natural disasters, strikes, lockdowns, war, etc.).

8. Ownership & Branding

  • Upon receipt of all dues, Syscogen will hand over relevant admin credentials and deploy the solution on the hosting/server as agreed.
  • The Client grants Syscogen the right to include a discreet footer credit such as “Developed by SYSCOGEN” on the website/portal/App.

9. Liability & Business Use

  • Syscogen develops solutions as per agreed specifications and does not participate in Clients’ business operations or policies. We are not responsible for any future, unauthorized, or non-compliant activities carried out by the Client using the delivered solution.
  • Except as expressly stated, Syscogen disclaims implied warranties to the fullest extent permitted by law. In no event shall Syscogen’s aggregate liability exceed the fees actually paid by the Client for the specific service giving rise to the claim.

10. Governing Law & Jurisdiction

  • These Terms are governed by the laws of the India. Any disputes shall be subject exclusively to the competent courts at Malda, West Bengal, India.
